In response to Lis4cg’s one-year effort to create an exceptionally talented and vibrant board, Lis4cg has developed a statement of board responsibilities which spells out every detail of board membership, from giving at a certain level to attending all meetings and coming prepared.

Board Member Responsibilities

 General Responsibilities

1. Support Lis4cg’s mission, purposes, goals, policies, and programs while knowing its strengths and needs.

2. Suggest possible board nominees of men and women of achievement who can make meaningful contributions to the board and Lis4cg’s progress .

3. Serve actively on committees as requested by the Chair.

4. Provide input and feedback to the Chair on the performance of the Executive Director as requested.

5. Attend activities and events sponsored by Lis4cg whenever possible.


1. Prepare for and participate (either remotely or in person) in all scheduled general board meetings and assigned committee meetings.

2. Ask timely and substantive questions at board and committee meetings consistent with personal conscience and convictions, while supporting the majority decision.

3. Maintain confidentiality of all board and committee meetings, and speak for the board only when authorized to do so.

4. Suggest agenda items periodically for board and committee meetings to ensure that significant policy-related matters are addressed.

Avoiding Conflicts

1. Serve Lis4cg as a whole rather than any special interest group or constituency.

2. Avoid even the appearance of a conflict of interest that might compromise the board, and disclose any possible conflicts to the board in a timely fashion. Complete the contract form.

3. Never accept or offer favors or gifts from or to anyone who does business with Lis4cg.

4. Sign the Conflict of Interest statement annually.

Fiduciary Responsibility

1. Exercise prudence in the control and transfer of funds.

2. Faithfully read and understand Lis4cg’s financial statements and otherwise help the board fulfill its fiduciary responsibility.
